Terms of Sale

Scope

These terms govern all sales unless replaced by a signed supply agreement. Placing an order constitutes acceptance.

Quotations

Quotations are valid for 30 days unless stated otherwise, and are given for the specification, grade and quantity described. A change to any of those may change the price.

Business use only

Products are sold to businesses for further manufacturing, processing or repackaging. They are not sold to consumers and are not supplied as finished consumer goods unless expressly agreed under a contract manufacturing agreement.

Buyer responsibility

The buyer is responsible for confirming that a material is suitable and lawful for its intended application in its market, including permitted use levels, labelling and claim substantiation. We supply specifications and documentation to support that assessment; we do not make it on the buyer's behalf.

Warranty

We warrant that material conforms to its agreed written specification at the time of shipment. This is the entire warranty. Because storage and processing after delivery fall outside our control, no other warranty is given, express or implied.

Limitation of liability

Our liability for any claim is limited to the invoice value of the material giving rise to it. We are not liable for indirect or consequential loss, including lost profit or the cost of a product recall arising from the buyer's own formulation or labelling decisions.

Governing law

These terms are governed by the laws of the State of New York.
